1. What OnSyra is
OnSyra is a marketplace. It connects businesses that need field service work ("Clients") with independent technicians and service companies ("Providers") who perform it.
LCS does not perform field service work. We do not employ Providers, do not direct how work is carried out, and are not a party to the service agreement between a Client and a Provider. We provide the marketplace, the workflow tools, the escrow mechanism and the dispute process.
Counsel note: this characterisation is load-bearing for the worker classification analysis in
worker-classification-review.md. Marketing copy must not contradict it.
2. Accounts

You must be 18 or older and legally able to enter contracts. Business accounts must be registered by someone authorised to bind the entity.
Accounts progress through verification before they can transact. What is
required, and what each state permits, is set out in
onboarding-screening-standards.md. We may decline any account, and are not
always able to say why — sometimes because we are legally prohibited from doing so.
You are responsible for your credentials. Enable two-factor authentication. Tell
us immediately at security@onsyra.com if you believe your account is
compromised.
3. The engagement between Client and Provider
- A Client publishes a work order stating scope, location, schedule and pay.
- Providers accept the posted terms or counter on pay, schedule or extras.
- The Client awards. On award the agreed terms are frozen into a work contract — later edits to the listing do not change what was agreed.
- The Provider performs the work and submits evidence.
- The Client approves, or requests correction with specific reasons.
The contract for the work is between the Client and the Provider. LCS is not a party to it. LCS holds funds, records evidence and administers disputes.
Exact site addresses are withheld from the public marketplace until an award is accepted. Site access details are confidential to the engagement.
4. Money
Fees, rails, limits, timing, holds and reversals are in payment-terms.md,
which forms part of these Terms. In summary: posting is free, Providers pay
a service fee on completed work, funds are held in escrow from award until
approval, and payouts require completed identity verification.
5. Conduct
acceptable-use-policy.md forms part of these Terms. In short: do the work you
agreed to, do it safely and lawfully, do not misrepresent your identity or
qualifications, do not take engagements off-platform to avoid fees, and do not
interfere with the platform's operation or security.
6. Reviews and ratings
Reviews must reflect a genuine engagement. We do not remove a review because it is unflattering. We do remove reviews that are unlawful, contain personal data, were bought or coerced, or do not relate to a real engagement.
Performance scores are calculated from platform activity. You can see your own.
7. Content and data
You keep ownership of what you upload. You grant LCS a licence to host, process and display it as needed to run the platform and to make it available to the counterparties on your engagements.
Work evidence — photos, notes, signatures, time logs — belongs to the engagement. Client and Provider each retain access to the evidence for the engagements they were party to.
8. Suspension and termination
You may close your account at any time. Obligations on open engagements survive.
We may suspend or terminate an account for breach of these Terms, fraud or its
reasonable suspicion, a legal requirement, a confirmed safety incident, or
sustained failure to meet commitments. Where we can explain, we will, and
you may appeal under onboarding-screening-standards.md §4.
Funds you are owed remain yours. Suspension does not forfeit an earned balance, though release may be delayed by an investigation or legal obligation.
9. Disclaimers
The platform is provided "as is". We do not warrant uninterrupted or error-free operation.
We do not guarantee the quality, safety, legality or outcome of any work performed through the platform, nor any Client's ability to pay beyond funds actually held in escrow. Verification confirms identity and documents — it is not a guarantee of competence or future conduct.
Counsel note: the extent to which these disclaimers survive consumer protection statutes varies by state and province and needs review.
10. Liability
To the fullest extent permitted by law, LCS's aggregate liability arising from these Terms is limited to the greater of (a) the fees LCS earned from you in the twelve months before the claim, or (b) $500.
We are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
11. Indemnity
You will indemnify LCS against claims arising from your use of the platform, your breach of these Terms, work you performed or commissioned, or your infringement of someone else's rights.
12. Changes
We will give 30 days' notice of material changes to these Terms, by email and in the platform. Continuing to use OnSyra after they take effect is acceptance. Engagements already under contract stay on the terms in force when they were awarded.
13. Disputes
Disputes about an engagement follow dispute-resolution-policy.md.
Disputes with LCS itself: first raise it with us at legal@onsyra.com so we
have a genuine chance to resolve it. If we cannot, [ARBITRATION / VENUE CLAUSE —
counsel to draft, addressing enforceability against contractors in each
operating jurisdiction, the class-action waiver, and any mass-arbitration
protocol].

14. General
If a provision is unenforceable, the rest stands. Our not enforcing something immediately does not waive it. You may not assign these Terms without our consent; we may assign them to a successor in a merger or sale.
